General Terms and Conditions (GTC)
1. Scope
These terms and conditions apply exclusively to all business relationships between Oliversuite GmbH (hereinafter referred to as "Provider") and the customer in the version valid at the time of the order.
2. Subject of the contract
The subject of the contract is the provision of services in the field of local search engine optimization (Local SEO) and Google business profile optimization.
3. Conclusion of contract
The contract is concluded upon acceptance of the offer by the provider. Acceptance occurs through written confirmation or by commencement of the service provision.
4. Services
The exact scope of services is defined in the respective service description. The provider is entitled to have services performed by qualified third parties.
5. Prices
All prices are in euros and are subject to statutory VAT. Prices are subject to change with four weeks' notice to the end of the month.
6. payment
Invoices are payable within 14 days of the invoice date without deduction. In case of late payment, the supplier is entitled to charge default interest at the statutory rate.
7. Contract duration
Unless otherwise agreed, the minimum contract term is 6 months. The contract will automatically renew for a further 6 months unless terminated with 3 months' notice prior to the end of the contract term.
8. Termination
The termination must be in writing (email is sufficient). The right to extraordinary termination for good cause remains unaffected.
9. Liability
The provider's liability is limited to intent and gross negligence. In cases of slight negligence, the provider is only liable for breaches of essential contractual obligations.
10. confidentiality
Both parties undertake to keep all confidential information obtained in the course of the cooperation secret and not to disclose it to third parties.
11. Data protection
The provider processes the customer's personal data exclusively for the purpose of fulfilling the contract and in accordance with applicable data protection regulations.
12. Final Provisions
The laws of the Federal Republic of Germany apply. The place of jurisdiction is the supplier's registered office, provided the customer is a merchant.
